This EULA is presented at installation and replaces the license wording shown by earlier versions of the Software.
In plain English
- You're buying a license to use StageMind on up to two of your computers, not ownership of the software itself.
- Agency licenses work by seats: seats limit who may use the Software, and device activations pool across the organization at two per purchased seat.
- Don't crack it, resell it, or strip out the notices. (Fair enough.)
- Your scripts stay on your machine. Cloud AI features send only what you submit to them, and microphone audio is never sent to StageMind. The Privacy Policy is the precise map.
- StageMind bundles some open-source software. Those components are governed by their own licenses, not this EULA, including components under the GPL, whose full license texts ship with the app, and whose complete source code we will give you on request.
- The software comes "as is," our liability is capped, and Florida law governs.
1. Agreement
This End User License Agreement ("EULA") is between you and Beautify Insights LLC d/b/a StageMind ("StageMind," "we") and governs the StageMind desktop software, including bundled components, updates, and documentation (the "Software"). By accepting this EULA in the installer, or by installing or using the Software, you accept it. If you do not agree, do not install; if you have already purchased, you may request a refund under the Terms of Service refund policy (Terms of Service §6).
Cloud features and purchases are governed by the Terms of Service; personal data is governed by the Privacy Policy, which is incorporated into this EULA by reference. Where the Terms of Service and this EULA conflict about the license to the Software (the App, as the Terms of Service call it), this EULA controls the license and the Terms of Service control the Service, as Terms of Service §1 states.
You must be at least 18 years old (see Terms of Service §2).
2. License grant
Subject to this EULA and, for paid features, a valid license or subscription, StageMind grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on up to two (2) devices that you own or control, for your personal or internal business use, including commercial content creation. Plans sold with different seat counts state the count at purchase, and that count controls.
Agency licences are granted to one organization and include the number of purchased seats. Seats limit the number of authorized users. Device activations may be shared across that organization, up to a total of two active devices per purchased seat. Additional device activations, if offered, require a separate purchase. StageMind may require deactivation of an existing device before activating another device once the applicable limit is reached.
Device limits are enforced through license activation, which §7 describes. As §7 states, the current version of the Software does not transmit the device identifier, so today this limit binds you as a term of this EULA rather than being enforced technically.
3. Restrictions
Except to the extent a restriction is prohibited by applicable law, you may not:
(a) copy the Software except as needed to install and run it (and reasonable backups);
(b) reverse engineer, decompile, or disassemble the Software, except (i) as applicable law permits notwithstanding this limit (e.g., interoperability under EU Directive 2009/24/EC), and (ii) as to open-source components, which their own licenses govern (§13);
(c) modify or create derivative works of the Software (other than open-source components per their licenses);
(d) rent, lease, lend, sell, sublicense, distribute, or host the Software for third parties;
(e) remove or alter proprietary notices, or the open-source notices and license files the Software ships with;
(f) circumvent license validation, device limits, quotas, or metering;
(g) use the Software as a basis for developing a directly competing teleprompter product, including by copying its design, behaviour, or user interface;
4. Ownership
The Software is licensed, not sold. StageMind and its licensors retain all right, title, and interest in the Software and all copies, including all IP rights. Your scripts and content are yours (Terms of Service §7); this EULA gives us no rights over your content.
5. AI features and cloud services
Cloud AI features require a StageMind account, connectivity, and an eligible plan, and form part of the Cloud Services as the Terms of Service define them. Usage allowances, optional pay-per-use, and the alternatives of using your own API key (BYOK) or a local model are described in the Terms of Service. Model availability and allowance mechanics may change; we will give at least 30 days' notice of changes that materially reduce a paid plan's cloud-AI value. On-device features, including speech recognition and local models, work without the Cloud Services.
6. Your data; privacy
The Software is local-first: scripts, settings, research data, conversation history, and speech processing stay on your device by default. When you use Managed AI cloud features, the text you submit (and, for content analysis, bounded excerpts of material you ingested) is transmitted through StageMind's cloud gateway to the selected AI provider to produce the response; for interactive requests, content is processed in memory and not stored on our servers. If you use your own API key, your device communicates with your provider directly and our servers are not involved. Microphone audio is never transmitted to StageMind.
The Privacy Policy at https://stagemind.app/legal/privacy is the authoritative, detailed description of what leaves your device and when, and is incorporated into this EULA by reference. Where this section and the Privacy Policy differ in detail, the Privacy Policy governs.
7. License activation; device identifier
The Software computes a hashed device identifier from hardware details, stores it locally, and shows it to you as a "Device ID" for support. The current Software version does not transmit it. StageMind's activation service is built: it can activate a device against a license, list activated devices, re-verify on license validation, and deactivate a device to free a slot. Because the Software does not send the identifier, none of that is in use for your installation today.
When online activation ships in the Software, activating a license will send this hashed identifier to StageMind to enforce the device limit in §2, and the Privacy Policy §4.4 (Licensing and device identifier) describes that processing. Once activation is in use, you can ask us to release a device slot at support@stagemind.app; self-service device management inside the Software is planned and is not available today.
8. Updates
The Software checks our release host (GitHub) for updates in production builds and when you ask it to; downloads and installs occur with your action (download is user-initiated; installation may complete on quit). Updates may be required for continued Cloud Services compatibility. This EULA governs updates unless an update ships with revised terms.
9. Term and termination
This EULA is effective until terminated. It terminates automatically if you materially breach it. On termination you must stop using and uninstall the Software. Termination does not delete data on your device, and does not affect your ownership of your content. Sections 4, 6, and 10–15 survive.
10. Warranty disclaimer
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, OR THAT AI OUTPUT WILL BE ACCURATE.
Live performance. StageMind is a production tool. You are responsible for rehearsing with the Software, verifying its behavior before you rely on it, and having a fallback for any live or recorded performance.
Statutory consumer rights that cannot be disclaimed are not affected. EU and UK consumers retain their legal guarantees of conformity for digital content.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAGEMIND WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL; AND OUR TOTAL AGGREGATE LIABILITY UNDER THIS EULA IS LIMITED TO THE GREATEST OF (i) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, (ii) THE AMOUNT YOU PAID FOR A LIFETIME LICENSE, AND (iii) US $100.
Exclusions and limits that cannot lawfully apply do not apply, including for willful misconduct, gross negligence where it is not limitable, death or personal injury caused by negligence, and fraud. This section does not limit non-waivable consumer rights. This cap is the same cap stated in Terms of Service §11, and the two are read together: a single event does not create two caps.
12. Governing law
This EULA is governed by the laws of the State of Florida, USA, excluding its conflict-of-laws rules; the UN Convention on Contracts for the International Sale of Goods does not apply.
Disputes follow Terms of Service §14: contact us first at legal@stagemind.app and give us 30 days to resolve the matter informally, after which disputes are resolved exclusively in the state or federal courts located in Orange County, Florida, and both parties consent to their jurisdiction. Two exceptions: where non-waivable consumer rules give you the right to sue elsewhere (for example, EU consumers in their home courts), those rules control; and either party may bring an individual claim in a small-claims court. The jury-trial waiver and the individual-claims (no class) provision in Terms of Service §14 apply to disputes under this EULA.
13. Third-party and open-source components
13.1 General carve-out. The Software includes third-party open-source components licensed to you directly under their own license terms, not under this EULA. Nothing in this EULA (including §3's restrictions) limits, supersedes, or modifies any right those licenses grant you for the corresponding component, and no additional restrictions are imposed on your exercise of those rights. The notices and license texts for those components ship with the Software in its installation folder under resources/third-party-licenses/, and the components are listed in the Software at Settings → About → Open-Source Licenses.
13.2 GPL-3.0 component (bgutil-ytdlp-pot-provider). The Software bundles bgutil-ytdlp-pot-provider, version 1.3.1 (upstream commit 7608dd51ee813b48cf9a6d68c6e42cb197ce10e0, © Brainicism and contributors), licensed under the GNU General Public License, version 3.0 only (GPL-3.0-only). It is delivered as a separate, independently executable local process that communicates with the Software over a local HTTP interface.
The Software as a whole is not licensed under the GPL. The GPL governs this component, and your rights in it come from GPL-3.0-only, whose full license text is distributed with the Software at resources/third-party-licenses/bgutil-ytdlp-pot-provider-GPL-3.0.txt. Nothing in this EULA restricts those rights or imposes any further restriction on them.
13.3 Corresponding Source. The complete Corresponding Source for that component, including StageMind's modifications to it (a thin adapter entrypoint preserving the local HTTP contract), is available to you at no charge in all of the following ways:
(a) shipped with the Software — the component's source, including the adapter, is installed alongside it under resources/sidecars/po-token-provider/;
(b) from the upstream project at the pinned version: https://github.com/Brainicism/bgutil-ytdlp-pot-provider (tag 1.3.1, commit above); and
(c) by written offer, valid for at least three (3) years from your receipt of the Software: on request we will provide the complete machine-readable Corresponding Source for no more than the cost of physically performing the distribution. Send requests to legal@stagemind.app.
This written offer is not limited to the component named in §13.2. It extends to every component bundled with the Software whose license entitles you to its Corresponding Source, including any component reached through the bundled Python runtime or through a bundled native library. The notice bundle at resources/third-party-licenses/ identifies which components those are for the build you received.
13.4 Other bundled components. The Software bundles further third-party components under their own licenses. The complete, build-accurate list, with each component's license text, is the notice bundle installed at resources/third-party-licenses/ together with the list shown at Settings → About → Open-Source Licenses. Those two surfaces are generated from the shipped build and are the operative statement of what the Software bundles; no list restated elsewhere overrides them.
14. Export controls
You may not use or export the Software in violation of US export-control and sanctions laws, and you represent you are not located in an embargoed jurisdiction or on a restricted-party list.
15. General
This EULA, the Terms of Service, and the Privacy Policy are the entire agreement for the Software and supersede prior discussions. Where the Terms of Service and this EULA conflict about the license to the Software, this EULA controls the license and the Terms of Service control the Service, as Terms of Service §1 states. If a provision is unenforceable, the remainder stands. Failure to enforce is not a waiver. You may not assign this EULA; we may assign it in connection with a merger, acquisition, or asset sale.
